By accessing the Alvara Data Room (the “Portal”), you acknowledge and agree to the following terms governing the use and confidentiality of the materials presented therein:

The Alvara Data Room contains confidential and proprietary materials intended solely for individuals or firms evaluating a potential investment, partnership, or advisory relationship with Alvara Inc. (“Alvara”). All materials are provided for informational review only.

You agree to:

• Treat all information contained within the Portal (“Confidential Information”) as private and non-public;
• Not copy, forward, download, or distribute the materials beyond your internal evaluation team;
• Refrain from disclosing any proprietary information without written permission from Alvara;
• Maintain commercially reasonable measures to safeguard the confidentiality of any shared data.

“Confidential Information” includes, without limitation: strategic plans, financial projections, partner and supplier details, technology architecture, investor materials, and product roadmaps.

You agree that any Confidential Information accessed will be used solely for the purpose of evaluating a potential business or investment relationship with Alvara. You will not use the materials for any competing commercial purpose or public disclosure.

You agree not to use Alvara’s Confidential Information to directly approach or engage any of its disclosed suppliers, customers, strategic partners, or funding sources in a manner that would knowingly bypass Alvara’s role or commercial interest, for a period of 12 months from the date of access.

This clause does not apply to relationships you had prior to viewing the materials or that arise independently.

All content within the Portal is the intellectual property of Alvara Inc. No license, assignment, or ownership is transferred or implied by access to these materials.

These terms shall be governed by the laws of the State of Delaware, and any disputes will be resolved exclusively in the state or federal courts of Delaware.

By continuing to access this Portal, you confirm that:

• You are authorized to act on behalf of your firm;
• You understand and accept these terms in full;
• You agree to respect the confidentiality and intended use of the materials provided.
